1. Agreement
These Terms & Conditions form an agreement between Voxvalley Technologies Pvt. Ltd. (Hyderabad, India), and where applicable its affiliate Voxvalley Technologies Pte Ltd (Singapore) — together "Voxvalley" — and the customer or partner ("you") who subscribes to any Voxvalley service, including CPaaS APIs, softphone SDK, contact center, cloud telephony, eSIM, and agentic AI products. A signed order form or subscription agreement takes precedence over these terms where they differ.
2. Accounts and eligibility
You must be a business entity or authorized representative, provide accurate registration information, and keep credentials secure. You are responsible for all activity under your account and sub-accounts, including activity by your own customers on white-label deployments.
3. Acceptable use
Services may be used only for lawful communications. You agree to obtain valid consent from recipients before sending marketing communications; comply with applicable regulations, including TRAI/DLT requirements in India and TCPA, 10DLC, and STIR/SHAKEN requirements in the United States; not transmit spam, fraudulent, deceptive, or unlawful content, or content that infringes third-party rights; and not resell services except under an authorized partner arrangement.
Voxvalley may suspend traffic that violates these requirements or that carriers or regulators flag, with notice where practicable.
4. Fees, billing, and taxes
Fees comprise a recurring subscription fee and metered usage charges at the rates in your order form or published rate card. Usage is measured by Voxvalley's billing systems, which are authoritative absent manifest error. Invoices are payable within the period stated on the invoice; late amounts may accrue interest and lead to suspension. Fees are exclusive of GST, sales tax, and other applicable taxes.
5. Service levels and support
Where an SLA is included in your package, remedies are limited to the service credits described there. Voxvalley operates multi-provider redundancy but does not guarantee uninterrupted availability of third-party carrier networks.
6. Data protection
For message and call content processed on your behalf, you are the data controller and Voxvalley acts as a processor under your instructions, as described in the Privacy Policy and any data processing addendum. Each party will comply with applicable data protection laws, including India's Digital Personal Data Protection Act, 2023.
7. Intellectual property
Voxvalley retains all rights in the platform, software, SDKs, and documentation. You receive a limited, non-exclusive, non-transferable license to use them for the subscribed services, including under your own brand where your package permits white-labeling. Your trademarks and customer data remain yours.
8. Confidentiality
Each party will protect the other's confidential information with at least reasonable care and use it only to perform under this agreement.
9. Term, suspension, and termination
Subscriptions renew monthly or annually as stated in your order. Either party may terminate for material breach not cured within 30 days of notice. Voxvalley may suspend services immediately for non-payment, security risk, or regulatory or carrier demand. On termination you remain liable for accrued fees, and Voxvalley will make your data available for export for 30 days.
10. Warranties and liability
Services are provided "as is" except as expressly stated. To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, and Voxvalley's aggregate liability is capped at the fees paid in the 12 months preceding the claim, except for liability that cannot be limited by law.
11. Indemnity
You will indemnify Voxvalley against claims arising from your content, your customers' traffic, or your breach of acceptable-use or regulatory obligations.
12. Governing law
For contracts with the Indian entity, these terms are governed by the laws of India with courts at Hyderabad, Telangana having jurisdiction. Changes to these terms will be notified at least 30 days before taking effect.
